General Conditions of MakerClub

1. Preamble

1. These General Conditions govern the use of the MakerClub platform and the purchase of the MakerClub Course. MakerClub is the successor to Städler Made. MakerClub is a sole proprietorship (eenmanszaak) registered with the Dutch Chamber of Commerce (KVK) under number 42176123, with its registered office at Keilestraat 5 A, 3029 BP Rotterdam, the Netherlands. 2. By creating an account, using the platform, or purchasing a subscription or the Course, you agree to these General Conditions.

2. Definitions

• MakerClub / we / us: the sole proprietorship described in Article 1.
• User / you: any natural person or legal entity that uses the platform or purchases the Course.
• Consumer: a User who is a natural person and is not acting in the course of a profession or business.
• Platform: the website makerclub.com and all related functionalities, including the public feed, recipe calculator, albums, and interactive features.
• Course: the pre-recorded digital course offered by MakerClub, including tasks, materials, and one private tutoring call with Pieter.
• Subscription: a paid monthly or annual plan that provides access to certain platform features and Module 1 of the Course.
• Free Account: a no-cost account that provides access to Module 1 of the Course and basic platform features.
• UGC (User-Generated Content): any content uploaded or posted by a User, including photos, recipes, comments, and likes.

3. Account and Eligibility

2. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
3. 3.2 Account types
4. MakerClub may offer different types of accounts and access levels, including but not limited to: (a) a Free Account; (b) paid monthly or annual Subscriptions; and (c) standalone purchase of the Course. The specific features, duration of access, and pricing applicable to each account type are set out on the MakerClub website at the time of purchase and form part of these General Conditions. MakerClub reserves the right to add, modify, or discontinue account types, provided that such changes do not affect the core rights of existing Users under their active subscriptions or Course purchases.

4. Use of the Platform

1. 4.1 User-Generated Content (UGC)
2. You retain ownership of the UGC you post. By posting UGC, you grant MakerClub a non-exclusive, royalty-free, worldwide licence to host, display, and technically reproduce your UGC solely for the purpose of operating the platform. This licence ends when you delete the UGC or your account, except for backup copies retained for a reasonable period.
3. You are solely responsible for your UGC. You warrant that your UGC does not infringe any third-party rights and complies with applicable law.
4. 4.3 No moderation; removal right
5. MakerClub does not actively moderate UGC. However, we reserve the right to remove any UGC that, in our sole discretion, violates these General Conditions or applicable law, without prior notice.
6. 4.4 Prohibited conduct
7. You may not:

• Use automated means (scraping, bots, crawlers) to access or extract content from the platform;
• Resell, sublicense, or commercially exploit access to the platform, the Course, or your account;
• Record, download, or redistribute the Course materials (downloading is not permitted);
• Harass other Users or post unlawful, hateful, or obscene content.

5. Subscriptions and the Course

1. 5.1 Subscription terms and renewal
2. Subscriptions are offered on a monthly or annual basis. Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. We will inform you of any price change in advance.
3. 5.2 Free trial
4. Monthly Subscriptions may include a one (1) week free trial. If you do not cancel before the trial ends, the paid Subscription begins and the applicable fee will be charged.
5. 5.3 Cancellation
6. You may cancel your Subscription at any time. Cancellation takes effect at the end of the current paid period. You will retain access until that date. No refunds are provided for partial periods or unused time.
7. 5.4 Course access and tutoring
8. The Course is a pre-recorded digital product. Upon purchase (standalone or via an annual Subscription), you receive access for the period stated on the MakerClub website at the time of purchase. The specific contents, features, and any included services of the Course are described on the MakerClub website at the time of purchase and form part of these General Conditions. Downloading of Course materials is not permitted.

6. Right of Withdrawal (Consumers)

1. 6.1 Statutory right
2. Where the Consumer has a statutory right of withdrawal under the mandatory laws of their country of residence (including, but not limited to, consumers in the European Union and the United Kingdom), the Consumer may withdraw from a Subscription within fourteen (14) days of conclusion, without giving any reason, subject to the exceptions set out in Article 6.2 and Article 6.3.
3. 6.3 Subscriptions
4. Where the Consumer has a statutory right of withdrawal under applicable law (including, but not limited to, consumers in the European Union and the United Kingdom), the following applies: for Subscriptions that are not for digital content beginning immediately, the Consumer may withdraw within fourteen (14) days. If the Consumer withdraws a Subscription within that period, any amount paid will be refunded, less a pro-rata amount for the service already provided (if the Consumer requested early performance).
5. 6.4 How to withdraw
6. To exercise your right of withdrawal, you must inform us by an unequivocal statement by email to maker@makerclub.com. You may use the model form below, but it is not obligatory.

7. Payment

1. 7.1 Payment methods
2. We accept the payment methods displayed on our website, including credit card, PayPal, iDEAL, and others as may be added from time to time.
3. 7.2 Invoicing and VAT
4. An electronic invoice will be sent to the email address associated with your account. Prices include VAT where applicable. For Consumers within the EU, VAT is charged according to the rate of your country of residence. For Users outside the EU, VAT is not charged.

8. Intellectual Property

1. All intellectual property rights in the Platform, the Course, and all related materials (including text, video, design, and code) vest in MakerClub or its licensors. You may not reproduce, distribute, publicly display, or create derivative works from the Course or Platform content without our prior written consent. The prohibition in Article 4.4 applies in full.

9. Liability

1. 9.1 Limitation of liability
2. To the maximum extent permitted by law, MakerClub’s total liability for any direct loss arising out of or in connection with the Platform, the Course, or these General Conditions is limited to the amount actually paid by you to MakerClub in the twelve (12) months preceding the event giving rise to the claim, and in any event shall not exceed €5,000.
3. 9.2 Excluded loss
4. MakerClub is not liable for any indirect loss, including consequential loss, loss of profit, loss of data, or loss of goodwill.
5. 9.3 Exceptions
6. Nothing in these General Conditions excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable law, including consumer protection laws.

10. Data Protection

1. MakerClub processes personal data in accordance with its Privacy Policy and applicable data protection laws (including the GDPR). By using the Platform, you acknowledge that you have read the Privacy Policy.

11. Force Majeure

1. If MakerClub is unable to perform its obligations due to an event of force majeure (including but not limited to technical failures, internet outages, or acts of government), it may suspend its obligations. If the event lasts longer than two (2) months, either party may dissolve the agreement without compensation.

12. Suspension and Termination by MakerClub

1. MakerClub may suspend or terminate your access to the Platform and/or the Course, without notice or liability, if:

• You breach these General Conditions;
• You fail to pay any amount due; or
• We are required to do so by law.

1. In the event of termination for breach, no refund will be provided.

13. Governing Law and Jurisdiction

1. These General Conditions are governed by the laws of the Netherlands. The Vienna Sales Convention (CISG) is excluded.
2. For Consumers: disputes will be submitted to the competent court of your place of residence.
3. For business Users: disputes will be submitted to the competent court in Rotterdam, the Netherlands.
4. Before initiating any legal proceedings, you may contact us at maker@makerclub.com to seek an amicable resolution. We will respond within a reasonable period.

14. Other Provisions

1. If any provision of these General Conditions is found to be invalid or unenforceable, the remaining provisions remain in full force.
2. We may amend these General Conditions from time to time. Material changes will be notified to you in advance.
3. The English text of these General Conditions is the binding version.
